Kin Yat shall be solely liable for the adequacy and completeness of the verification.

4.2.1 Kin Yat shall use only materials and components that have been approved by iRobot for the Manufacturing Services in accordance with the Specifications, including any engineering changes, specifications or amendments thereto. Kin Yat is responsible for collecting and retaining all documentation indicating compliance of its third-party suppliers to the Material Declaration Requirements.

4.2.2 Kin Yat shall monitor and provide monthly reports to iRobot the percentage of Purchase Orders that are completed on time, as per the definition of On-time used by iRobot which includes shipping all components, materials and items ordered by iRobot within the Lead Time, plus any deadlines for shipping specified in the relevant Product Specifications. Kin Yat shall also maintain records and documentation of all Supplier Quality Assurance activities, testing and evaluations.
